Any reason to upgrade?
My PC is around 3.5 years old Athlon 1.8GHz processor, 512MB RAM, 250GB hard drive, USB2.0
I just installed SimplyMEPIS_3.4-3 and I love it. It's easier to use than Red Hat Linux 9.0 that I used before, and has more capabilities.
Is there any reason to upgrade to Mepis 6.0 ? Can you think of something that got substantially better in the newer release?

It's using the Ubuntu 6.06 LTS repositories
Well, SimplyMEPIS 6.0 is using the Ubuntu 6.06 LTS repositories, and Ubuntu plans on supporting this version for 5 years (the LTS stands for Long Term Support). See the release announcement here:

See this SimplyMEPIS 6.0 announcement (mentioning the Ubuntu base):

So, you'll have different package pools with the newer MEPIS versus the older versions which were using Debian package pools. There are pros and cons to both.
As for any practical benefits, I don't know. I guess it would depend on your hardware and software needs.
I've got my wife's laptop on SimplyMEPIS 3.4.3 right now (actually it was originally installed from one of the 3.4.x betas, but I've updated it from time to time). My PC is on SimplyMEPIS 6.0 Final (but, I've also got a separate partition with 6.0-4 Beta 2 on it right now).
If I were going to upgrade, I'd probably wait on SimplyMEPIS 6.0-4 Final (it's currently on beta 2). That would give you a better reason (the newer 6.0-4 will already have Firefox 2.0 and Flash Player 9 installed).\
I decided to skip 6.0 Final with my wife's laptop. But, I may entertain the idea of upgrading her from 3.4.3 to 6.0-4 after the newer version goes final (since 6.0-4 will have a newer Firefox and Flash Player version already installed).

I. If it ain't broke, don't fix it.
II. KISS which stands for: Keep It Simple, Stupid.
Please, I don't mean to imply that you are stupid. That's just the acronym.
I would not venture to upgrade until I have run up against a recognized need for new software. That old stuff is rock-solid. I personally don't follow this advice. I keep upgrading because it's fun to have the latest on my PC. I have also paid for this bleeding-edge style many times over. Make backups before you start. Actually, make backups anyway. Lightning might strike at any time.
